2. Acceptance of Terms

- Making payment for any of our services

3. Client Obligations
As a client of Hisparadisetech, you agree to the following obligations:
Accurate Information
Provide accurate, complete, and up-to-date information necessary for service delivery. This includes contact details, business information, and technical specifications.
Timely Cooperation
Provide timely feedback, approvals, and necessary materials required for project completion. Delays in client response may result in project timeline extensions.
Content Responsibility
Ensure all content provided (text, images, videos) is legally owned or properly licensed. You indemnify us against any claims related to content you provide.
Compliance
Comply with all applicable laws and regulations. Use our services only for lawful purposes and in accordance with these Terms.
System Access
Provide necessary access to systems, accounts, and platforms required for service delivery. Maintain confidentiality of access credentials.
4. Payment Terms
Payment Schedule
- One-time Projects: 50% deposit required before work commencement, 50% upon project completion
- Recurring Services: Monthly payments due on the agreed date each month
- Custom Projects: Payment schedule as outlined in individual service agreements
- Hosting & Email Services: Annual payments preferred, monthly options available
Accepted Payment Methods
- Bank transfer (preferred method)
- Online payment platforms (Paystack, Flutterwave)
- Mobile money transfers
- Cash payments (for local clients only)
- Check payments (subject to clearance)
Late Payment Policy
- Payments are due within 7 days of invoice date unless otherwise agreed
- A late fee of 5% may be charged for payments overdue by more than 14 days
- Services may be suspended for accounts overdue by more than 30 days
- Collection costs may be added to overdue accounts
Refund Policy
- Deposits are non-refundable once work has commenced
- Refunds for unused portions of recurring services may be considered on a case-by-case basis
- No refunds for completed work or delivered services
- Hosting and domain registration fees are non-refundable
5. Intellectual Property Rights
Our Intellectual Property
All intellectual property rights in our services, including but not limited to software code, designs, processes, methodologies, and documentation, remain the exclusive property of Hisparadisetech unless explicitly transferred in writing.
This includes proprietary frameworks, templates, and reusable components that may be incorporated into your project.
Client Intellectual Property
You retain all rights to your original content, data, trademarks, and other intellectual property provided to us. You grant us a limited license to use your intellectual property solely for the purpose of delivering the agreed services.
Upon full payment, you will own the final deliverables created specifically for your project, excluding our proprietary components and methodologies.
Third-Party Components
Some projects may incorporate third-party software, plugins, or components. These remain subject to their original licenses. We will inform you of any ongoing licensing requirements or fees associated with third-party components.
Portfolio Usage
We reserve the right to showcase completed projects in our portfolio, case studies, and marketing materials unless you specifically request confidentiality in writing. We will not disclose sensitive business information or proprietary data.
6. Privacy & Data Protection

7. Service Availability & Support
Uptime Commitment
- We strive to maintain 99.9% uptime for hosting and email services
- Scheduled maintenance will be announced in advance when possible
- Emergency maintenance may occur without prior notice
- Downtime due to factors beyond our control is not covered by uptime guarantees

Service Limitations
While we strive to provide excellent service, we cannot guarantee uninterrupted operation or complete error-free performance. 8. Limitation of Liability
IMPORTANT NOTICE
The following limitations of liability are fundamental to our ability to provide services at competitive prices. Please read this section carefully.
Maximum Liability
Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by you for the specific service giving rise to the claim in the 12 months preceding the claim.
Excluded Damages
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.
Service-Specific Limitations
For hosting and email services, our liability is limited to service credit or refund of fees paid for the affected service period. We are not responsible for data loss due to client actions or third-party factors.
Force Majeure
We are not liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, government actions, internet failures, or other force majeure events.
9. Termination
Termination by Client
- You may terminate services with 30 days written notice
- One-time projects cannot be terminated after work has commenced without payment for work completed
- Recurring services will be terminated at the end of the current billing period
- Early termination may result in loss of discounts or promotional pricing
Termination by Hisparadisetech
We may terminate services immediately in the following circumstances:
- Non-payment of fees after 30 days past due
- Breach of these Terms of Service
- Use of services for illegal or harmful purposes
- Abusive behavior toward our staff
- Violation of acceptable use policies
Post-Termination
- All outstanding fees become immediately due upon termination
- We will provide reasonable assistance for data migration (fees may apply)
- Access to services will be suspended immediately upon termination
- Confidentiality obligations survive termination
- Client data will be deleted after 30 days unless otherwise requested
10. Governing Law & Dispute Resolution
Governing Law
These Terms and any disputes arising from or related to our services shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, specifically the laws applicable in Delta State.
Dispute Resolution
We encourage resolution of disputes through direct communication. In the event of a dispute:
- Direct Negotiation: Both parties will attempt to resolve disputes through good-faith negotiations for at least 30 days
- Mediation: If direct negotiation fails, disputes will be submitted to mediation before a mutually agreed mediator
- Arbitration: Unresolved disputes may be submitted to binding arbitration under Nigerian Arbitration and Conciliation Act
- Court Jurisdiction: If arbitration is not applicable, disputes will be resolved in the courts of Delta State, Nigeria
Legal Fees
In any legal proceeding arising from these Terms, the prevailing party shall be entitled to recover reasonable attorney's fees and costs, unless prohibited by applicable law.
11. Modifications to Terms
We reserve the right to modify these Terms at any time to reflect changes in our services, legal requirements, or business practices. When we make material changes:
- We will notify existing clients by email at least 30 days before changes take effect
- Updated Terms will be posted on our website with the effective date clearly indicated
- Continued use of our services after the effective date constitutes acceptance of the new Terms
- If you do not agree to the changes, you may terminate services before the effective date
